User Agreement – Wheatbuy

Article 1 [Important Notice]

1.1 Wheatbuy

Wheatbuy is developed by Aeongo Inc., based in the United States and is a SaaS e-commerce software focused on enabling the monetization of private domain traffic. Wheatbuy agrees to provide access services (hereinafter referred to as “services”) in accordance with the provisions of this agreement and operating rules released by Aeongo Inc. In order to obtain Wheatbuy services, you (including “Enterprise Merchants” and “Individual Merchants”, hereinafter collectively referred to as “merchants”, see the definition clause for details.) should fully and carefully read the “Wheatbuy Service Agreement” (hereinafter referred to as “this agreement”) and the content of each clause. Before using this service, if you have any questions, you can consult Wheatbuy customer service.

1.2 Conclusion and entry into force of this agreement

This agreement becomes immediately effective following either case below (Case A or Case B). It means that you have fully read, understood and accepted this agreement and the service content and models provided by Wheatbuy and agreed to become a merchant using Wheatbuy services. The validity of this agreement covers the entire cooperation period between you and Wheatbuy. Unless you have agreed otherwise with Wheatbuy, this agreement will continue to be valid during your use of the service and have contractual effects on you and Wheatbuy. You may not file any form of defense in the excuse of not reading or disagreeing to the contents of this agreement. In the process of reading this agreement, if you do not agree with any content of this agreement or cannot accept Wheatbuy’s service content and service model, you should immediately stop the registration process.

A. You complete the registration process by filling in the information required (where applicable), reading the agreement in full and clicking the “I have read and agree to the Wheatbuy service agreement” option box as prompted by the Wheatbuy registration page.

B. If you use Wheatbuy service on Wheatbuy’s website, mobile applications or software provided Wheatbuy.

1.3 Service Fees

The software services provided by Wheatbuy may charge a service fee (where applicable). After service fees (where applicable) are collected, they are not refundable except for provisions of the law, or if Wheatbuy has been continuously paralyzed for 72 hours and force majeure factors.

Article 2 [Definition]

Unless otherwise specified, the following terms in this agreement mean:

2.1 Wheatbuy: Refers to SaaS products that Wheatbuy provides, including front-end display pages and an operational management back-end Wheatbuy website.

2.2 Wheatbuy Service: A set of access processes provided for using Wheatbuy and all service functions using Wheatbuy software products, including but not limited to various forms including front-end pages and back-end services (including emerging technologies in the future).

2.3 Application Interface: Refers to a platform where merchants can perform service management on Wheatbuy after logging into their Wheatbuy account.

2.4 Wheatbuy Front-End Page: Wheatbuy web page accessed on PC browsers, smart mobile devices and browsers.

2.5 Software service fee: refers to fees collected and paid to Wheatbuy for use of Wheatbuy services.

2.6 Merchants (including enterprise merchants and individual merchants): enterprise merchants refer to business entities with a valid business licenses and can open independent payment channels to collect user transaction money; individual merchants refer to business entities without a business licenses. For independent merchants, a third-party payment gateway integrated by Wheatbuy is required to process payments between the buyer and merchant. Enterprise Merchants and Individual Merchants are collectively referred to as Merchants.

2.7 User: Refers to the public who accepts services or purchases products provided by merchants.

2.8 Wheatbuy Rules: including all rules, interpretations, announcements, and notices that has been published or will be published in subsequent releases by Wheatbuy.

Article 3 [Registration and Use of Accounts]

3.1 Merchant qualification

To register as a Wheatbuy merchant, you must be at least the age of 18 or have reached legal age in the jurisdiction where you reside and intend to operate your merchant account from.

3.1.1 Age Requirements

Products sold by Merchants are intended to be sold to adults of legal age. Users under the age of 18 must be under the supervision of a parent or guardian. Alcohol and/or adult product listings on Wheatbuy are intended for adults only. You must be at least 21 years of age to purchase or use any site functions relating to alcohol; you must be at least 18 years of age to purchase or use any site functions relating to adult related products. Wheatbuy is not responsible for purchases made by anyone under the required age and will be the sole responsibility of Merchants. Furthermore, Wheatbuy reserves the right to refuse service, terminate accounts, remove or edit content or cancel orders at its sole discretion should a product, service, merchant or user come in violation of the age requirement or other sections of this agreement.

3.2 Account Registration

You should use Wheatbuy through designated channels to register a Wheatbuy account (hereinafter referred to as: account) to become a Wheatbuy merchant. Once the Wheatbuy account is successfully registered, you can transfer your account only if there are express provisions of the law, judicial ruling or written consent of Wheatbuy. Otherwise, your account shall not be transferred in any form, otherwise Wheatbuy has the right to pursue you for liability for breach of contract, and all liabilities arising therefrom shall be borne by you.

3.3 Use of account

3.3.1 Storage of merchant account and password

After you have successfully registered with Wheatbuy, your account name and password will be kept by you, and you shall be legally responsible for all activities and events carried out with this account. The operations of other administrators under the account are deemed to authorize you to manage them.

3.3.2 To protect the legality and safety of the service, you must not violate this agreement, your account must not be used for other purposes, including but not limited to using your account with third-party applications to apply this service and so on. Otherwise, Wheatbuy has the right to unilaterally restrict, suspend or terminate the provision of this service to you and / or your registered applications at any time, and you and / or your registered applications may not use this service again without the consent of Wheatbuy.

3.4 Registration information management

3.4.1 When registering an account to use Wheatbuy service, you should accurately and completely provide legitimate, true, valid registration information (including your name, telephone number, personal mail etc.), in order for Wheatbuy or other parties to contact you. You understand and agree that you have an obligation to maintain the authenticity and validity of the information you provide.

3.4.2 You guarantee that you will fulfill the following items and other items upon Wheatbuy’s request: submitting the corresponding qualification materials, confirming and agreeing to the relevant agreements and rules, and performing fee settlement and other matters. These actions are carried out all by you or others authorized by you. At the same time, you bear all legal responsibilities for all actions carried out with your account.

3.4.3 You should update the information you provide in a timely manner . In cases where Wheatbuy as a service provider must verify the information of some merchants, Wheatbuy will check your information from time to time according to the law. You should provide most current, true, complete and effective information. If you do not update the information in a timely manner, it may result in a disruption of service or other errors to occur during this provision. You must bear all the consequences arising therefrom, Wheatbuy will not assume any responsibility.

If Wheatbuy finds the information you have provided, or have not provided in accordance with the requirements of Wheatbuy in a timely manner, to be untrue or invalid, the merchant shall bear all losses or consequences resulting from which includes but are not limited to suspension of your account. Wheatbuy will send you an inquiry and require you to update your account information to resume use of Wheatbuy services provided to you.

3.5 Account Security Management

3.5.1 Your account registration is your credentials for logging in and using the service . You should take measures to keep the username and password confidential. Wheatbuy is not responsible for any losses and consequences caused by the loss or leakage of the above user name, password, etc. due to improper confidentiality measures by your actions or by actions or fraud of others onto you. You should recover from the infringer through judicial, administrative and other relief channels.

3.5.2 If you discover that someone has misused or misappropriated your account and password, or any other situation that has not been legally authorized by you or may cause your account to be stolen or lost, we recommend that you immediately notify Wheatbuy (including but it is not limited to providing your account information, relevant facts and any or all information requested by Wheatby, etc.) After receiving your valid request and verifying your identity, Wheatbuy will take corresponding measures according to different situations. If the information you provide is incomplete, Wheatbuy cannot verify your identity or Wheatbuy cannot determine your needs, etc., or is not reported to Wheatbuy in a timely manner, you shall bear your own losses. At the same time, you understand that Wheatbuy requires a reasonable period of time to process your request, and you understand that the measures taken by Wheatbuy may not be able to avoid or prevent your losses.

3.6 Attribution of account subjects

The Wheatbuy account you register is owned by Wheatbuy. After completing the application for registration, you gain the right to use the account, and the right to use only belongs to the person who originally applied for registration. If you change the account authentication information, you are responsible for the authenticity of the changed information and the responsibility for the change . You guarantee that all the responsibilities caused by applying for the change of information will be borne by you, regardless of Wheatbuy.

Article 4 【 Expenses】

4.1 Wheatbuy reserves the right to charge a technical service fee. The service fee (whether free or not) will be clearly stated in relevant interactive interfaces of the service. Should Wheatbuy adjust its charging policy or fees, the change shall be clearly stated in relevant interactive interfaces of the service.

4.2 Wheatbuy reserves the right, as necessary to launch different promotional projects at different times which include but are not limited to, coupons, rebates or commissions etc. You can, according to Wheatbuy, enjoy corresponding promotional projects. The launch of any promotional projects is not the duty of Wheatbuy and you may not seek preferential promotions from Wheatbuy.

4.3 Besides the fee-based services explicitly expressed by Wheatbuy, other services currently provided to you are free of charge. Should Wheatbuy change any of its service fees, Wheatbuy will take a reasonable approach and notify you in advance through a reasonable procedure or method within a sufficiently reasonable period to ensure that you have the right to make adequate choices.

Article 5 [Collection Service]

5.1 After you register an account with Wheatbuy, an enterprise entity with a business license can open an independent collection channel to process payment transactions; individuals and other entities that do not have an enterprise entity need a third-party payment gateway integrated with Wheatbuy to process payment transactions. Regardless of the method of collection, the revenue generated by you on Wheatbuy can be queried in your account. Each transaction will be charged the appropriate fee in accordance with the third-party payment gateway.

5.2 In accordance with laws and tax policies of the jurisdiction where the merchant is located or shipped to destination (where applicable by state laws), all merchants of Wheatbuy are required to handle all sales tax matters, which includes but is not limited to, calculating, reporting, collection and remittance of sales taxes pertaining to the sale of their own self-operated goods and or services. Wheatbuy will not be responsible for the calculations, collection, reporting or remittance of sales tax on the sale of any self-operated goods and/or services of merchants. Resulting legal liabilities and penalties from a merchant’s failure to comply with applicable laws and regulations regarding the reporting and remittance of sales taxes are borne by the merchant alone.

5.2.1 Wheatbuy will be responsible for the collection, reporting and remittance of sales taxes pertaining to 3rd party platform products on Wheatbuy, sold by merchants of Wheatbuy.

5.3 When you decide to willfully terminate your account on Wheatbuy, you must submit a request to Wheatbuy to officially and willfully terminate your account. You acknowledge that all access to the account and rights to the account will be forfeit once the account has been terminated. The terminated account can no longer be reinstated once it has been terminated. Wheatbuy has the right to and may disclose the merchants account if compelled through legal instruments (including, but not limited to, the entry into force of a court’s decision, etc.)

Article 6 [Rights and Obligations of Merchants]

6.1 In the following cases, Wheatbuy may suspend services provided to you with or without notice, and shall not be held responsible: (a) we reasonably believe that you use the service in violation of the agreement; (b) You are not cooperating with our reasonable investigation for suspected violations of the agreement; (c) Your website has been attacked, or a third party has accessed or manipulated your website without your consent; (d) Violation of Legal, regulatory or government rules and laws; or (e) in order to protect our other customers and merchants, we must suspend the service. We will notify you of any such suspension in advance through commercially reasonable efforts , unless we determine that it is necessary to suspend with shorter notice or without notice to protect us or our other customers from imminent risks.

You must not use the Wheatbuy service in any way that would harm Wheatbuy services and the functionality of the service.

You further agree not to use the service for:

(1) Distribute or transmit spam, including machine or randomly generated content and / or content that contains unethical or harmful commercial content, which is designed to attract traffic to third-party websites or enhance third-party websites in search engines Rankings, or further violations (such as phishing) or misleading recipients of sources (such as online fraud);

(2) Disseminate or transmit malicious harassment messages, chain letters, commercial emails or unreasonably large amounts of spam emails every day;

( 3 ) Dissemination or transmission of documents, graphics, software or other materials, data or works that actually or potentially infringe anyone ’s copyright, trademark, patent, trade secret or other intellectual property rights;

(4) Collect or steal any personally identifiable information;

(5) Violation of any export or import laws, regulations or restrictions of the United States and its agencies or authorities, or the export, re-export, or download of any message or content without all necessary approvals, permissions, and / or exemptions;

(6) Either spread or spread any viruses, Trojan horses or other malicious, harmful or crippling data, work, code or programs.

You may not use this service for any illegal or unauthorized purpose, nor may you use this service to violate any law within your jurisdiction (including but not limited to copyright, trademark or patent law), your customer’s jurisdiction Or the laws of the United States of America. You will abide by all applicable laws, regulations and rules when using the service.

6.2 You shall be responsible for the selection, modification, etc. of the pricing, specifications, marketing methods and share ratio of your own products.

6.3 During the operation of your shop during Wheatbuy , you need to provide users with timely and effective customer service.

6.4 You are obliged to properly resolve disputes between you and your users regarding service fee collection, service quality, and breach of contract, and are obliged to properly handle infringement and other disputes with third parties. You bear your own responsibility, and you agree that Wheatbuy, as the software developer, shall not bear any responsibility for the above disputes. If Wheatbuy is therefore pursued by your users or third parties, you agree to compensate for all losses caused to Wheatbuy .

By selling physical goods, you agree to abide by the following related consumer protection content:

( 1 ) In addition to the special products stipulated by laws and regulations, the buyer ships the goods within 72 hours after the payment is completed and accept returns or exchanges within 14 days in accordance with established return policies.

( 2 ) Detailed information must be indicated at the time of product release. If the product has not been delivered within the specified time and a refund has occurred, it is responsible for the after-sales work of the product.

( 3 ) The return and exchange terms should meet the following requirements:

” 14 days return policy ” refers to the special service provided by suppliers (hereinafter referred to as ” sellers ” ) to their buyers, allowing buyers to return or exchange specific products they have purchased in accordance with this rule. Specifically, the return period is 14 days after delivery of the product or estimated delivery date of the product. When the buyer wants to return the product because he or she is not satisfied with the product after receiving the product or return due to quality issues, all postage must be borne by the seller. Returned goods are required to have contents and packaging, accessories accounted for. Purchased items found to be washed, vandalised or used may not be returned.

For non quality issues relating to the product, the return shipping shall be borne by the buyer. Special reminder: In order to avoid economic losses due to product retention, all returned goods should be sent back within a reasonably specified time. Returned goods may not be returned beyond a reasonably specified time. Buyers and merchants are required to negotiate their own solutions.

6.5 You fully understand and agree that you must be responsible for all actions under your registered account, including any content you post and any consequences arising therefrom. You should make your own judgment on the content of this service , and bear all risks arising from the use of the content, including risks arising from the dependence on the correctness, completeness or practicality of the content. Wheatbuy cannot and will not be liable for any loss or damage caused by the aforementioned risks.

6.6 You should abide by the principle of good faith, ensure that the information of the goods and / or services you publish is true and consistent with the goods and / or services you actually sell, and fulfill your transaction commitments in the course of the transaction. You should maintain Wheatbuy healthy competition in order not to belittle, denigrate competitors, shall not interfere with Wheatbuy any transaction, activity on shall not interfere or attempt to interfere in any way Wheatbuy functioning.

6.7 You may not use the following methods to log into Wheatbuy or disrupt the services provided by Wheatbuy :

(1) software in any robot, spider, web crawler, brush screen software or other automated means to access or log on Wheatbuy ;

(2) Acts that cause or may cause unreasonable or disproportionate significant loads on the internal structure of Wheatbuy by any means ;

(3) Interfere with or attempt to interfere in any way with Wheatbuy’s work or Wheatbuy in any activity carried on.

6.8 You agree to receive information from Wheatbuy, including but not limited to rule information, event information, transaction information, promotional information, etc.

6.9 You shall not commit any malicious breaches of contract, that is, suspected intentional and objective violation of this agreement and Wheatbuy rules, including but not limited to the following forms:

(1) By registering a large number of accounts in batches or gradually, and at the same time or in batches, implement violations such as infringement of the intellectual property rights of others and fraudulent information content. Once found, the account will be processed according to the existing rules according to the degree of breach of contract. If it involves infringement of the intellectual property rights of others or fraud, it will be permanently blocked. If it is found that there is the same gang, the same type of information or other account associations with the same or similar factors, and it is suspected that there are behaviors or tendencies such as maintenance account and registration of an alternate account, the associated account will be permanently closed. Refuse to provide any registration or certification services to the above breaching party.

(2) Multiple breaches of contract: that is, sending false information articles for a long time, after multiple text deletion warnings,

After the limitation of capacity, the contract still continues to be breached. After repeated reminders and warnings, if there are still similar situations, the account will be permanently banned.

(3) Other malicious breaches of contract and confrontation, such as deliberately looking for loopholes and confrontation with Wheatbuy .

6.10 In addition to policies stated in this agreement, you agree to abide by all federal, state and local laws, rules and regulations relating to the operation of your business on Wheatbuy. Responsibilities of liabilities and damages resulting from the violation of federal, state and local laws, rules and regulations are solely borne onto you.

Article 7 [Distributor’s rights and obligations]

7.1 You need to open a store before applying to settle in Wheatbuy . After the store is opened, you can cooperate with the supplier in the following ways:

(1) Sales subject and responsibility. Under this model, the distributor only serves as a promoter of its products. In order to ensure product quality and other legitimate rights and interests of consumers, the sales orders generated by the distributor ’s promotion of the supplier ’s products are all supplied by the supplier and provide product quality issues. Guarantee, after-sales service.

Product pages may contain information provided by third parties and other content providers. Despite our best efforts to make sure that information is accurate, we don’t guarantee it, and image descriptions, specifications, or other attributes may be incomplete, out of date, unreliable or miscategorized. Before you buy, use or consume a product, you should always review all information, warnings or instructions.

(2) In order to facilitate consumer orders and the settlement of fees between suppliers and distributors, the amount of orders after consumers place orders will be collected by distributors and suppliers at a set rate of promotion commission.

(3) After the distributor successfully adopts the distribution product, it will formally establish a corresponding cooperative relationship with both suppliers . After the cooperation relationship is established, the distributor can use the product information within the scope authorized by the supplier. At the same time, you need to follow the relevant requirements and rules of Wheatbuy and suppliers.

7.2 Distributor’s rights and obligations

7.2.1 Distributors should follow the principles of honesty, trustworthiness and legal compliance in the business activities carried out by Wheatbuy to ensure the provision of high-quality goods and services to consumers and a fast and efficient way to deal with transaction disputes.

7.2.2 The commodity information released by distributors is an agreement between distributors and consumers, and is not affected by the agreement between distributors and suppliers. No agreement between the distributor and the supplier shall be against this agreement and the rules of Wheatbuy.

7.2.3 In order to maintain market order, distributors should strictly abide by the supplier’s price system and price management regulations regardless of the mode of cooperation.

7.2.4 The distributor guarantees that, except for the sale and promotion of distribution products in the distributor’s own or mall, no third party shall be allowed to sell or reauthorize any third party to sell and promote or authorize the promotion of distribution products, otherwise Wheatbuy shall have the right Immediately terminate the provision of services to distributors, and at the same time have the right to refuse to settle distributors ’promotion commissions for the distribution of goods.

7.3 In the process of selling or promoting supplier products (also known as “distributed goods”) to consumers, distributors must comply with the following regulations:

(1) Distributors must fulfill their commitments to consumers. If the agreement between the distributor and the supplier is unclear or the distributor ’s sales commitment to the consumer exceeds the supplier ’s commitment to the distributor, the resulting risks or liabilities shall be borne by the distributor;

(2) The sales orders generated by direct sales of commodities for distribution or promotion of commodities for suppliers are supplied by cooperating suppliers to ensure product quality;

(3) Distributors are obliged to confirm the validity of the buyer’s delivery address, and confirm the receipt of the order in time after the consumer receives the goods to ensure the settlement of the relevant payment or promotion commission.

7.4 Distributors are required to comply with the supplier’s agreement to carry out relevant business activities, and their commitment to consumers shall not exceed the scope agreed by both parties.

7.5 If the distributor is punished by Wheatbuy for violating the Wheatbuy rules, the supplier has the right to immediately terminate the corresponding cooperative relationship with the distributor. However, the rights and business relationship determined by both parties before the termination of the cooperative relationship will not be affected by the termination of the promotion of the cooperative relationship.

7.6 If the consumer initiates rights protection for the distributor due to the quality of the distributed product and the consumer compensation application is established, the supplier will be liable to the consumer in accordance with the contract. The distributor shall coordinate with the supplier and consumer to handle related disputes or disputes. Wheatbuy is only a neutral third party that provides cooperation between distributors and suppliers, and does not provide product sales services. Wheatbuy is not responsible for disputes between suppliers and distributors on product promotion cooperation, but Wheatbuy is obliged to provide the necessary assistance to facilitate the settlement of disputes.

7.7 The provisions of distributors and distributors regarding distribution policies or activities shall not confront consumers. Distributors shall be responsible to consumers in accordance with this agreement. Distributors shall be liable to consumers in accordance with the terms of this agreement. If they are caused by the supplier ’s reasons, the distributors may be liable for compensation after compensation.

7.8 If the distributor fails to perform relevant obligations in accordance with the agreement, Wheatbuy has the right to impose corresponding penalties on the distributor, and Wheatbuy station has the right to terminate cooperation with the distributor according to the distributor’s breach of contract.

7.9 Exit from service and termination

7.9.1 Wheatbuy has the right to immediately terminate cooperation with distributors when this agreement meets any of the following circumstances :

(1) Distributor withdraws from or clears Wheatbuy in accordance with the provisions of this agreement ;

(2) When this agreement or related rules are adjusted, the distributor notifies Wheatbuy in writing that it is unwilling to accept the new agreement, then this agreement will terminate on the date that Wheatbuy receives the distributor ‘s notice ;

(3) Wheatbuy has the right to unilaterally notify the distributor to terminate this agreement based on the distributor’s operating conditions;

(4) During the promotion process, if distributors find that the users belonging to the store have malicious returns or exchanges, after the supplier complains, Wheatbuy will return the settlement payment and promotion commission to the supplier unconditionally and have the right to notify the distributor unilaterally The merchant terminates this agreement.

7.9.2 After the termination of this agreement, the distributor has no right to continue to sell or promote the products of the supplier, but for the transactions that have occurred before the termination of this agreement, the distributor still needs to perform its obligations in accordance with the agreement.

Article 8 [Rights and Obligations of Suppliers]

8.1 The supplier confirms that the cooperation model between distributors and suppliers who have cooperated based on this agreement is as follows:

(1) Sales subject and responsibility. Under this model, the distributor only serves as a promoter of its products. In order to ensure product quality and other legitimate rights and interests of consumers, the sales orders generated by the distributor’s promotion of the supplier’s products are supplied by the supplier and provide quality products. Guarantee, after-sales service and if consumers have invoicing needs.

(2) Payment settlement. In order to facilitate consumer orders and the settlement of fees between suppliers and distributors, the amount of orders after consumers place orders will be collected by distributors and suppliers at the rate set by the promotion commission.

8.2 The fees under this agreement are calculated in U.S. dollars, with U.S. dollars as the unit of count and two decimal points are retained according to the rounding principle.

8.3 Suppliers can view data such as the revenue of distributed commodities according to the functions provided by the system. The supplier shall abide by the regulations for withdrawing the income of distribution goods.

8.4 The supplier shall pay taxes in accordance with the law on all the income it receives.

8.5 The supplier agrees that all transaction and distributor promotion data are subject to system statistics and certified data.

8.6 Consumer protection

Suppliers selling physical goods agree to abide by the following related consumer protection content:

(1) In addition to the special products stipulated by laws and regulations, the buyer will ship the goods within 72 hours after the payment is completed, and the goods will be returned or exchanged within 14 days without reason or satisfy certain conditions.

(2) Detailed information must be indicated at the same time as the product is released. If the product has not been shipped within the specified time and a refund has occurred, the supplier should first negotiate with the distributor and be responsible for the after-sales work of the product.

(3) The return and exchange terms should meet the following requirements:

8.7 Termination of service

If you have the following circumstances, Wheatbuy has the right to unilaterally terminate this service and clear you out:

(1) Wheatbuy has repeatedly received complaints from distributors or other third parties ;

(2) Infringe upon the legal rights and interests of others,their privacy, trademarks, copyrights, patents, etc.

(3) Violation of the legal or agreed confidentiality obligations;

(4) Engaging in illegal transactions, such as money laundering, selling firearms, drugs, prohibited drugs, pirated software, obscene pornographic items, and other items that Wheatbuy deems not allowed to use this service for transactions;

Furthermore, Wheatbuy reserves the right to periodically review product listings and/or remove/edit any that Wheatbuy deems inappropriate or found in violation of our platform agreement or federal, state or local laws.

(5) Provide gambling information or induce others to participate in gambling in any way;

(6) Illegal use of someone else’s bank account (including credit card account) or invalid bank account (including credit card account) transactions;
